Welcome to Mazzify. These Terms and Conditions govern your access to and use of our website, mobile application, and services (collectively referred to as the “Platform”).

By accessing or using our Platform, you agree to comply with these Terms. If you do not agree, please discontinue use immediately.Mazzify is an online marketplace platform. The contract of sale for products listed on the platform is strictly between the buyer and the seller. Mazzify acts solely as an intermediary and shall not be liable for any breach of contract by the seller.

1. Definitions

1. “Company”, “We”, “Our”, “Us” refers to Mazzify.
2. “User”, “You”, “Customer” refers to any person accessing or using the Platform.
3. “Vendor” refers to third-party sellers listing products on the Platform.
4. “Service” refers to all services provided through our website and app.

2. Acceptance of Terms

By:

1. Accessing our Platform
2. Creating an account
3. Placing an order

You confirm that:

1. You are legally eligible under the laws of Pakistan.
2. You have read and understood these Terms.
3. You agree to be bound by our Privacy Policy and Refund Policy.

3. Nature of Platform (Ecommerce Marketplace)

Mazzify operates as a multivendor marketplace.

1. Products may be sold by independent third-party vendors.
2. We facilitate transactions between buyers and sellers.
3. We are not the manufacturer of listed products unless explicitly stated.
4. We reserve the right to intervene in disputes for fair resolution.

4. Account Registration

To use certain services:

1. You must create an account.
2. You must provide accurate and complete information.
3. You are responsible for maintaining account confidentiality.
4. You are responsible for all activities under your account.

We reserve the right to suspend accounts that provide false or misleading information.

5. Orders & Contract Formation

5.1 Order Confirmation

An order confirmation email or message is only an acknowledgment of receipt and does not constitute acceptance.

5.2 Contract Formation

A binding contract is formed only when:

1. The product is dispatched, OR
2. Digital access is delivered.

5.3 Order Cancellation

We reserve the right to cancel any order due to:

1. Product unavailability
2. Pricing errors
3. Suspicious activity
4. Policy violations
5. Vendor issues

6. Product Information & Availability

1. We strive for accurate product descriptions and images.
2. Errors in pricing or description may occur.
3. We reserve the right to correct errors and cancel affected orders.
4. Product availability is not guaranteed.

7. Pricing & Payments

1. All prices are in Pakistani Rupees (PKR).
2. Prices exclude shipping and applicable taxes unless stated.
3. Payment is due at order placement.

We may offer:

1. COD (Cash on Delivery)
2. Debit/Credit Card
3. Online payment gateways
4. Wallet payments

We do not store card details. Payments are processed via secure third-party gateways.

You agree:

1. To use payment methods lawfully owned by you.
2. To maintain sufficient funds.

We disclaim liability for unauthorized card use due to customer negligence.

8. Delivery & Risk Transfer

1. Delivery timelines are estimates.
2. Delays may occur due to vendor, courier, or external factors.
3. Risk passes to you upon successful delivery.

If you:

1. Fail to accept delivery
2. Provide incorrect address
3. Fail to provide necessary instructions

The order may be deemed delivered, and no refund will be issued.

9. Digital Products

1. Digital products are non-refundable once delivered and accessed.
2. Compatibility is the customer's responsibility unless otherwise stated.
3. Refunds apply only for proven defects.

10. Returns & Refunds

All returns are governed by our Refund & Return Policy.

Approval is subject to:

1. Verification
2. Proof submission
3. Vendor coordination

11. Prohibited Activities

You agree NOT to:

1. Violate any laws or regulations.
2. Post unlawful, abusive, defamatory, or harmful content.
3. Infringe intellectual property rights.
4. Impersonate others.
5. Post spam or malicious code.
6. Harvest user data without consent.
7. Engage in fraudulent refund claims.
8. Attempt unauthorized access to the Platform.

We reserve the right to:

1. Investigate violations
2. Remove content
3. Suspend accounts
4. Initiate legal action

12. Intellectual Property

All content including:

1. Logos
2. Text
3. Graphics
4. Images
5. Software

Is the property of Mazzify or its licensors and protected by applicable copyright and trademark laws.

You may not:

1. Republish
2. Resell
3. Duplicate
4. Redistribute

Without written permission.

13. Limitation of Liability

To the fullest extent permitted by law:

1. Mazzify shall not be liable for indirect, incidental, or consequential damages.
2. We are not liable for vendor misconduct beyond reasonable marketplace control.
3. Our liability shall not exceed the value of the purchased product.

14. Platform Availability

We do not guarantee:

1. Continuous availability
2. Error-free operation
3. Uninterrupted service

Maintenance or technical disruptions may occur.

15. Vendor Responsibility Clause

Vendors must:

1. Provide accurate listings
2. Deliver products as described
3. Comply with platform policies

We may deduct penalties or suspend vendors for violations.

16. Termination

We may suspend or terminate your access if you:

1. Violate these Terms
2. Engage in fraud
3. Abuse refund policies
4. Harm the platform or other users

17. Amendments

We reserve the right to modify these Terms at any time.

Changes become effective upon posting. Continued use constitutes acceptance.

Vendor Policy

VENDOR AGREEMENT

(Marketplace Seller Legal Contract)

This Vendor Agreement (“Agreement”) is entered into between Mazzify (“Platform”, “Company”, “We”) and the registered Seller (“Vendor”, “You”).

By registering as a seller on Mazzify, you agree to the following terms:

1. Nature of Relationship

1. Mazzify operates as a multivendor marketplace.
2. Vendors are independent contractors.
3. This Agreement does not create partnership, employment, or agency relationship.
4. Vendors are solely responsible for their products and business operations.

2. Vendor Obligations

The Vendor agrees to:

1. Provide accurate product descriptions.
2. Upload genuine images.
3. Sell lawful products under Pakistani law.
4. Deliver products matching listing specifications.
5. Maintain sufficient stock.
6. Honor approved returns and refunds.
7. Provide after-sale support (if applicable).

The Vendor shall not:

1. Sell counterfeit or illegal products.
2. Misuse customer data.
3. Manipulate reviews.
4. Circumvent platform payments.

3. Product Listings

1. Platform reserves the right to edit or remove listings.
2. Platform may suspend listings violating policy.
3. Vendor guarantees ownership or authorization to sell listed products.

4. Commission & Fees

Vendor agrees that:

1. Mazzify will charge a commission per order.
2. Commission is automatically deducted before payout.
3. Additional service fees (ads, promotions, etc.) may apply if opted.

5. Order Fulfillment

Vendor must:

1. Process orders within agreed timeframe.
2. Pack products securely.
3. Provide accurate tracking details.
4. Handle replacements if approved.

Failure may result in penalties.

6. Returns & Refunds

Vendor agrees:

1. To accept returns approved under platform policy.
2. That refund amounts may be deducted from vendor balance.
3. Platform decision in disputes is final.

7. Payout Terms

1. Payouts are processed according to Seller Commission & Payout Policy.
2. Platform may hold payouts for verification or dispute resolution.
3. Fraudulent activity may result in payout suspension.

8. Data Protection

Vendor must:

1. Use customer data only for order fulfillment.
2. Not store or misuse customer data.
3. Maintain confidentiality.

Violation may result in legal action.

9. Suspension & Termination

Platform may suspend or terminate vendor account for:

1. Policy violation
2. High return ratio
3. Fake products
4. Fraud
5. Repeated complaints

Platform may withhold pending payouts for investigation.

10. Limitation of Liability

Mazzify is not liable for:

1. Vendor product defects
2. Regulatory violations by vendor
3. Vendor business losses

Vendor indemnifies Platform against claims arising from their products.

SELLER COMMISSION & PAYOUT POLICY

This policy governs commission deductions and vendor payouts.

1. Commission Structure

1. Commission is charged per completed order.
2. Percentage varies by category.
3. Commission is deducted automatically before payout.
4. Shipping fees may be deducted if borne by vendor.

Platform reserves right to modify commission with notice.

2. Order Status & Commission Deduction

Commission applies only when:

1. Order is delivered successfully.
2. No return request is pending.

If order is returned:

1. Commission may be reversed.
2. Reverse logistics cost may apply.

3. Payout Schedule

1. Payout cycle: 15 to 30 days.
2. Delays may occur due to verification or disputes.

4. Payout Method

1. Bank Transfer
2. Easypaisa / JazzCash (if applicable)
3. Wallet Adjustment (if required)

Vendor must provide accurate banking details.

5. Deductions

Platform may deduct:

1. Refund amounts
2. Return shipping fees
3. Chargebacks
4. Penalties
5. Promotional fees (if opted)

6. Minimum Payout Threshold

Platform may set a minimum payout amount.
